1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Slate Foundry LLC ("BSlate," "we," "us," or "our") governing your access to BSlate: AI Video Generator, https://www.bslate.net, mobile applications, AI generation features, content, and related support (collectively, the "Services").

By accessing or using the Services, you confirm that you have read and agree to these Terms, our Privacy Policy, AI Data Privacy notice, and any purchase terms shown at checkout. If you do not agree, do not use the Services.

2. Eligibility

You must be legally capable of entering a binding agreement and meet the minimum age required by the laws where you live. If you use the Services for an organization, you represent that you have authority to bind that organization to these Terms.

3. The BSlate service

BSlate provides tools for generating short video content from prompts, images, settings, and other supported inputs. Features, output formats, generation availability, credits, limits, and device requirements may vary by app version, platform, account, region, or operational capacity.

Generated results are probabilistic and may differ between requests, even when similar inputs are used. Examples on the website illustrate creative possibilities and do not guarantee identical output.

4. Limited permission to use BSlate

Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable right to install and use the Services for their intended purposes.

This permission does not transfer ownership of the Services or any BSlate technology, software, design, model, interface, documentation, trademark, or other proprietary material.

5. Accounts and security

We may require verification, restrict access, or suspend an account when reasonably necessary for security, fraud prevention, legal compliance, service integrity, or enforcement of these Terms.

  • Provide accurate information and keep it reasonably current.
  • Protect credentials, devices, and account access from unauthorized use.
  • Notify support promptly if you suspect a security incident or unauthorized transaction.
  • Remain responsible for activity performed through your account unless applicable law provides otherwise.

6. Your content and ownership

"User Content" includes prompts, images, files, instructions, messages, feedback, and other material you submit, as well as generated content to the extent rights can legally arise in it.

As between you and BSlate, you retain the rights you hold in User Content. You are responsible for ensuring you have the rights, permissions, and lawful basis needed to upload, process, generate from, publish, or otherwise use that content.

7. License needed to provide the service

You grant BSlate a limited, worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, adapt, display, and store User Content only as reasonably necessary to provide the requested feature, secure and support the Services, enforce these Terms, and comply with law.

This operational license ends when the relevant content is deleted from our systems, except for limited information that must be retained for legal, security, transaction, dispute, or backup purposes.

This license does not permit BSlate to use User Content to train general-purpose AI models or foundation models. We do not use User Content for that purpose.

8. AI-generated output

You are responsible for reviewing generated output before using, sharing, publishing, or relying on it. Output may contain visual artifacts, inaccuracies, resemblance to existing material, unexpected elements, or content that does not fully follow a prompt.

BSlate does not promise that output will be unique, accurate, non-infringing, suitable for a particular purpose, accepted by another platform, or eligible for intellectual-property protection. Similar outputs may be generated for different users.

9. Responsible use requirements

  • Use the Services only for lawful purposes and in compliance with applicable platform rules.
  • Obtain permission before uploading or generating from another person's private image or personal information.
  • Use appropriate disclosure when generated or altered media could reasonably be mistaken for authentic footage.
  • Review output before publishing it in a sensitive, professional, political, medical, financial, legal, or public-interest context.

10. Prohibited conduct

  • Illegal activity, fraud, scams, phishing, deceptive impersonation, or evasion of legal obligations.
  • Non-consensual intimate imagery, sexual exploitation, child sexual abuse material, or content that sexualizes minors.
  • Credible threats, targeted harassment, encouragement of self-harm, or instructions intended to cause serious physical harm.
  • Infringement or misappropriation of copyright, trademark, privacy, publicity, confidentiality, or other rights.
  • Malware, unauthorized access, service disruption, scraping, reverse engineering, automated abuse, or attempts to bypass technical limits.
  • Misleading synthetic media used to defraud, manipulate civic participation, falsely attribute conduct, or cause material reputational harm.
  • Uploading information or content you are not authorized to disclose or process.

11. Safety review and enforcement

We may use automated and manual measures to detect abuse, protect service integrity, investigate reports, and enforce these Terms. We may block a request, remove content, limit features, preserve evidence, suspend an account, or report conduct where reasonably necessary and lawful.

Enforcement decisions may consider context, severity, repeat behavior, legal obligations, platform requirements, and risk to users or the Services.

12. BSlate intellectual property

The Services, including the BSlate name, logo, software, interfaces, site imagery, layouts, documentation, models, workflows, and related materials, are owned by us or our licensors and protected by applicable intellectual-property laws.

You may not copy, sell, lease, distribute, modify, create derivative works from, publicly display, or exploit those materials except as these Terms or applicable law expressly permits.

13. Copyright and rights reports

A rights holder may send a detailed report to contact@bslate.net. Include identification of the protected work or right, the material at issue, information reasonably sufficient to locate it, your contact information, a statement of authority, and any declaration required by applicable law.

We may request additional information, restrict material while reviewing a report, and take appropriate action under law and these Terms.

14. Feedback

If you voluntarily provide an idea, suggestion, or feature request, you allow us to use it without restriction or compensation, provided we do not identify you publicly without permission. Do not submit confidential information as general feedback.

15. Credits and generation access

Some features may use credits or another usage unit. The app describes the amount included in an offer and the amount required for an eligible generation before purchase or use. Credits are a limited contractual right to use designated Services, not money, stored value, or transferable property.

Credits may expire, be promotional, differ by feature, or be adjusted after a refund, chargeback, fraud finding, duplicate grant, or purchase reversal as described in the applicable offer and permitted by law.

16. Subscriptions

If you purchase a recurring plan, the price, billing period, included benefits, renewal terms, and available trial information are shown before confirmation. The subscription renews automatically unless canceled through the marketplace account that processed it before renewal.

Deleting the app or your BSlate account does not automatically cancel a marketplace subscription. You are responsible for managing renewal through Apple App Store or Google Play settings.

17. Billing, taxes, and price changes

The app marketplace processes payment using the method connected to your marketplace account. Prices may vary by country, currency, tax, platform, and offer. The amount shown in the marketplace checkout controls the purchase.

A marketplace may provide notice and request consent for a subscription price change where required. Taxes are applied according to marketplace rules and applicable law.

18. Refunds and chargebacks

Refund requests for Apple App Store or Google Play purchases must be submitted to the marketplace that processed the payment. Marketplace rules and mandatory consumer rights determine eligibility.

If a refund, chargeback, or purchase reversal is confirmed, we may adjust related access, subscription status, credits, or benefits. Our Refund Policy provides additional request guidance.

19. App marketplaces and linked services

Apple, Google, operating systems, devices, and linked websites are governed by their own terms and privacy practices. Those providers may control downloads, account authentication, billing, refunds, subscriptions, device permissions, and platform availability.

We are not responsible for an external service's content, availability, security, or decisions, but we will provide reasonable product support for BSlate records available to us.

20. Device permissions

BSlate may request access to photos, storage, camera, notifications, or other device functions when needed for a feature. You can manage permissions in the app or device settings. Refusing a permission may prevent the related feature from working.

21. Beta and experimental features

A feature identified as beta, preview, experimental, or limited may change, produce unexpected results, have reduced availability, or be withdrawn. Do not rely on an experimental feature for critical or irreplaceable work.

22. Availability and service changes

We may maintain, update, add, remove, limit, or suspend features for security, quality, legal compliance, platform requirements, capacity, model updates, or business operations. Availability can vary by region, device, app version, account status, and network conditions.

Interruptions may occur during maintenance, heavy demand, outages, storage operations, security events, or circumstances beyond reasonable control. Keep lawful copies of important outputs where appropriate.

23. Suspension and termination

You may stop using BSlate at any time and may request account deletion through the in-app Profile or Account Settings area. Marketplace subscriptions must be canceled separately.

We may suspend or terminate access when you materially or repeatedly violate these Terms, create security or legal risk, fail to pay, abuse the Services, or when continued operation is no longer reasonably possible. Where appropriate, we may provide notice or an opportunity to appeal.

24. Privacy and AI data handling

Our Privacy Policy explains general information practices. The AI Data Privacy notice separately explains generation inputs, self-hosted processing, the prohibition on model training with user content, face-related data, deletion controls, and the 36-hour generation-content retention limit.

25. Electronic communications

You agree that we may provide service-related notices electronically, including account, support, security, purchase, policy, and operational messages. Marketing messages, if offered, remain subject to applicable consent and opt-out requirements.

26. Disclaimers

To the fullest extent permitted by law, the Services are provided on an as-is and as-available basis. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement where those disclaimers are legally permitted.

We do not warrant uninterrupted operation, permanent storage, error-free output, compatibility with every device, or that generated content will satisfy every request or platform rule. Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

27. Limitation of liability

To the fullest extent permitted by law, BSlate and its owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, opportunities, or business interruption arising from the Services.

To the fullest extent permitted by law, our total liability for claims connected with the Services will not exceed the amount you paid for BSlate during the six months before the event giving rise to the claim, or USD 100 if you paid nothing. Jurisdictions that do not allow a limitation apply it only to the maximum extent permitted.

28. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless BSlate and its affiliates from claims, losses, liabilities, and reasonable expenses arising from your unlawful User Content, misuse of the Services, violation of these Terms, or infringement of another person's rights.

29. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except where mandatory consumer law provides a different governing law or forum.

Before starting a formal dispute, please contact contact@bslate.net with a description of the issue and requested resolution. This informal step does not limit rights or deadlines that cannot legally be waived.

30. Export and sanctions compliance

You may not use or access the Services in violation of export controls, sanctions, anti-corruption laws, or other trade restrictions. You represent that your use is lawful in your location and is not for a prohibited person, entity, destination, or purpose.

31. General provisions

You may not assign these Terms without our written consent. We may assign them in connection with a merger, restructuring, financing, acquisition, asset transfer, or similar transaction, subject to applicable law.

If a provision is held unenforceable, it will be limited or removed only to the extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. Section headings are for convenience only.

These Terms, the Privacy Policy, AI Data Privacy notice, Refund Policy, checkout disclosures, and feature-specific notices form the entire agreement concerning the Services and replace earlier agreements on the same subject.

32. Changes to these Terms

We may update these Terms to reflect legal, security, operational, or product changes. The effective date identifies the current version. We will provide additional notice when required. Continued use after the revised Terms take effect means you accept them, except where law requires another form of consent.
